1. Introduction
Welcome to Cardnera (the “App”), developed by CARDNERA SDN. BHD. (“we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our mobile application, website, and related services (collectively, the “Service”).
By downloading, installing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.
These Terms apply to all users, including without limitation users who are browsers, customers, merchants, vendors, and/or contributors of content.

2. Eligibility
You must be at least 13 years old (or the minimum age of digital consent in your country) to use this Service. By using the Service, you represent and warrant that you meet this age requirement. If you are under the age of majority in your jurisdiction, you confirm that you have obtained permission from a parent or legal guardian to use the Service.

3. Account Registration
To access certain features of the Service, you may be required to create an account. You agree to:
Provide accurate, current, and complete information during registration.
Maintain and promptly update your account information.
Keep your password confidential and secure.
Notify us immediately of any unauthorized use of your account.
You are responsible for all activities that occur under your account.

4. User Conduct
You agree not to:
Use the Service for any illegal purpose or in violation of any local, state, national, or international law.
Impersonate any person or entity or falsely state your affiliation with a person or entity.
Upload or transmit viruses, malware, or any code of a destructive nature.
Interfere with or disrupt the integrity or performance of the Service.
Attempt to gain unauthorized access to the Service or its related systems.

5. Intellectual Property Rights
The Service and its original content (excluding user-generated content), features, and functionality are and will remain the exclusive property of CARDNERA SDN. BHD. and its licensors. The Service is protected by copyright, trademark, and other laws of both MALAYSIA and foreign countries.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of CARDNERA SDN. BHD.

6. User-Generated Content
Some parts of the Service may allow you to post, link, store, share, or otherwise make available content, text, graphics, videos, or other material (“User Content”).
You retain all rights to your User Content. However, by submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service.
You represent that you own or have the necessary licenses to any User Content you submit.
We reserve the right (but have no obligation) to monitor, edit, or remove User Content at our sole discretion, without notice, for any reason, including content that violates these Terms.

7. Privacy
Your privacy is important to us. Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at: https://cardnera.net/privacy.html.
By using the Service, you consent to the practices described in the Privacy Policy, including data transfers to countries outside your own (e.g., Ghana and Nigeria), which may have different data protection rules.

8. Purchases and Payments
If the Service offers in-app purchases or subscriptions:
All payments are processed through third-party platforms (e.g., Apple App Store, Google Play Store) and are subject to their respective terms and billing policies.
Subscription fees will be charged to your account at confirmation of purchase and will automatically renew unless canceled at least 24 hours before the end of the current period.
Refunds are governed by the policies of the applicable app store platform. We do not directly issue refunds for in-app purchases.

9. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
IN NO EVENT SHALL CARDNERA SDN. BHD., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF $10 USD OR THE AMOUNT YOU HAVE PAID TO US IN THE LAST SIX MONTHS.

10. Indemnification
You agree to defend, indemnify, and hold harmless CARDNERA SDN. BHD. and its affiliates, officers, agents, employees, and partners from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Service.

11. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Ghana and Nigeria, without regard to its conflict of law provisions.
Any disputes arising from these Terms or the Service shall be resolved exclusively in the courts located in Ghana and Nigeria. You agree to submit to the personal jurisdiction of such courts. (Note: For EU users, mandatory local consumer protection laws still apply.)

13. Changes to These Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect via in-app notification or email. What constitutes a material change will be determined at our sole discretion.
Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the new Terms.
